Terms of Service

Welcome. These Terms govern your use of CarryCollect — a marketplace, vault, and authentication platform for art collectibles, starting with the work of Jermaine Rogers.
By creating an account or making a purchase, you agree to these Terms. If you do not agree, do not use the service.
1. Who We Are
CarryCollect is operated by CarryCollect, LLC, an Ohio limited liability company ("CarryCollect," "we," "us"). We run a platform for collectors to vault, display, authenticate, trade, and purchase physical art collectibles.
We are not a financial institution, custodian, or licensed appraiser. Authentication levels are informational, not legal guarantees of value.
2. Your Account
You must be at least 18 years old to hold an account. You are responsible for keeping your login credentials secure. Do not share your account.
You agree to provide accurate information. If you represent a business or artist, you agree you have the authority to bind that entity to these Terms.
We may suspend or close accounts that violate these Terms, abuse the platform, or pose a risk to other collectors.
3. The Vault, The Registry, and Your Content
Your Vault is your private collection record. The Registry is the shared, community-edited catalog of known pieces. Minting a piece on-chain requires Gold Authentication and is gated behind a paid plan.
You retain ownership of any photos, notes, or provenance details you upload. By posting them, you grant CarryCollect a worldwide, royalty-free license to host, display, and use that content to operate and promote the service.
Catalog corrections contributed by collectors are welcomed and rewarded through Carry Score. Submitted corrections may be reviewed and, once accepted, become part of the Registry.
4. Marketplace and Consignment
The Marketplace allows collectors to buy and sell physical pieces. CarryCollect acts as an intermediary and facilitator. We are not the seller of collector-listed pieces unless explicitly noted.
Sellers are responsible for the accuracy of their listings, including condition, edition, and provenance. Buyers are responsible for reviewing listings before purchase.
Consigned pieces may be held in CarryCollect-managed storage. Consignment terms, fees, and payout timing are set out in the separate consignment agreement provided at intake.
5. Blind Drops and The Reserve
Blind Drops are randomized releases where the exact variant you receive is unknown until the drop resolves. Drops are all-or-nothing: once committed, a slot cannot be partially refunded. Pricing includes sales tax where applicable.
The Reserve is credit held on your account from resales, buybacks, or promotional grants. Credit in The Reserve can only be used inside CarryCollect — it is not withdrawable to cash and not transferable to another person.
Refunds against The Reserve are binary: the full amount is restored, or it is not. Partial refunds are not issued.
6. Carry Gifts and The Obscura
A Carry Gift lets you send a piece to another collector. The recipient — not the sender — reveals the piece. If the recipient does not yet have an account, the gift is held in escrow until they claim it.
If the recipient chooses to sell the gifted piece through the platform, any buyback credit goes to the recipient. Senders do not retain financial claims on gifted pieces.
7. Authentication
Authentication is offered at tiers — Unverified, Silver, Gold, and above. Each tier reflects a level of review, not a legal appraisal of market value.
A Gold-or-higher seal indicates that our authentication team reviewed the piece against reference records. It is not a warranty against future disputes, changes in scholarship, or third-party claims.
8. Fees, Taxes, and Payments
Published fees — listing, seller, membership, and drop pricing — are displayed in-platform. Fees may change; changes will be announced before they take effect.
Sales tax is collected where required and is included in the displayed total for Blind Drops. For direct Marketplace sales, tax is calculated at checkout based on the ship-to address.
Payments are processed by third parties, including Stripe and Crossmint. Your use of those services is also subject to their terms.
9. Shipping and Risk of Loss
Title and risk of loss transfer to the buyer when the piece leaves our storage facility, unless the piece is held in managed consignment. Managed consignment terms are set out separately.
We package physical pieces with reasonable care. Insurance options are available at checkout for higher-value pieces.
10. Prohibited Conduct
You agree not to:
- ◆List or sell counterfeit, stolen, or misrepresented pieces.
- ◆Manipulate pricing, reviews, or Carry Score through false accounts.
- ◆Scrape the Registry or Marketplace to build a competing catalog.
- ◆Interfere with the security or operation of the platform.
- ◆Use CarryCollect to launder funds or evade sanctions.
- ◆Harass other collectors, artists, or staff.
11. Intellectual Property
CarryCollect, the wordmark, the diamond glyph, the naming system (The Vault, The Registry, The Reserve, The Obscura), and platform code are owned by CarryCollect, LLC. You may not copy or imitate them without written permission.
Artists retain the copyright in the artwork depicted on collectibles. Purchase of a physical piece conveys ownership of that physical object, not the underlying copyright.
12. Disclaimers
The service is provided "as is." We do not warrant that it will be uninterrupted, error-free, or meet any specific investment expectation.
Collectibles are illiquid, their values fluctuate, and past performance is not a prediction of future value. You are responsible for your own collecting decisions.
13. Limitation of Liability
To the fullest extent permitted by law, CarryCollect's total liability for any claim related to the service is limited to the greater of (a) the amount you paid to CarryCollect in the twelve months before the claim, or (b) one hundred US dollars.
We are not liable for indirect, consequential, or punitive damages, lost profits, or loss of collector community reputation.
14. Disputes
Before filing any formal claim, you agree to first contact us at vault@carrycollect.app and give us a reasonable chance to resolve the issue.
Disputes that cannot be resolved informally will be handled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will proceed on an individual basis, and you waive the right to participate in a class action or class-wide arbitration.
Small-claims carve-out. Either party may bring an individual claim in a small-claims court with jurisdiction, instead of arbitration, so long as the claim remains in that court and is not escalated to a class or representative action.
15. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. For any dispute not subject to arbitration, the exclusive venue is the state and federal courts located in Ohio.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced in-platform and by email at least seven days before they take effect. Continued use of CarryCollect after a change means you accept the new Terms.
